I need help with Insurance Contracting

I was just given the opportunity to enter into negotiations for a contract with a national insurance carrier. They asked for me to submit a proposal to start the negotiations.
That’s the good news. The bad news is I have never done this before.
Is there anyone who has done this before who would be willing to offer tips or advice. My most basic question is, what is this proposal supposed to look like?
Any advice will be greatly appreciated.
